1. ABOUT THE BUSINESS UNIT
Tapri Wali Bhurji is a business unit of Andabhurji Global Solutions focused on developing and enabling business opportunities around egg-based food offerings, associated business solutions, online business operations, customer acquisition, implementation, partnerships and related commercial activities.
The Business Management Partner (State) will be responsible for developing and managing the complete business unit for the assigned state, including business development, customer relationships, recruitment, partnerships, implementation coordination, support, team management, internal accounting coordination and continuous business improvement.
The position is intended for an individual who can operate with an entrepreneurial, business-owner mindset while working within the policies, systems, commercial framework and strategic direction of Andabhurji Global Solutions.
2. POSITION PURPOSE
The Business Management Partner (State) will act as the principal business-management interface for Tapri Wali Bhurji within the assigned state.
The Partner will be responsible for creating, developing and managing a sustainable state-level business ecosystem involving:
Customers → Sales → Business Development → Employees → Partners → Vendors → Implementation → Support → Relationships → Revenue → Profitability → Business Expansion
The position requires extensive interaction with customers, prospective customers, employees, business partners, vendors, service providers and internal executive teams.
A major responsibility will be the development of long-term business relationships at multiple organizational levels, rather than merely generating individual sales transactions.

The Partner must possess strong communication capabilities in the predominant/state-specific language(s) relevant to the assigned business territory, in addition to functional professional communication skills.
4. PRIMARY FUNCTIONS & RESPONSIBILITIES
4.1 Sales & Business Development
The Partner shall be responsible for developing the business of Tapri Wali Bhurji throughout the assigned state.
Responsibilities include:
Developing the state-level sales and business-development plan.
Identifying prospective customers, markets, businesses, institutions and commercial opportunities.
Generating and managing leads.
Establishing relationships with decision-makers at multiple organizational levels.
Conducting business discussions, presentations and commercial negotiations within approved authority.
Developing long-term customer relationships.
Managing the complete business-development cycle from prospect identification to closure.
Developing repeat-business and expansion opportunities.
Identifying cross-selling and additional business opportunities.
Maintaining an active and measurable sales pipeline.
Achieving mutually agreed business and revenue objectives.
Developing state-specific market strategies in coordination with the Executive Team.
Providing management with market intelligence, customer feedback and business opportunities.
The Partner is expected to focus on relationship-led business development, not only transaction-based selling.
4.2 Recruitment & Employee Management
The Partner may be responsible for developing the human-resource structure required for the assigned state business unit, subject to company policies and approved recruitment authority.
Responsibilities may include:
Identifying manpower requirements.
Recommending suitable candidates.
Participating in recruitment and selection activities.
Coordinating onboarding of approved employees/resources.
Assigning responsibilities to state-level personnel.
Monitoring employee performance.
Maintaining employee engagement and productivity.
Identifying training and development requirements.
Managing attendance, availability and work allocation as applicable.
Escalating employee-performance concerns through the appropriate company channels.
Supporting performance reviews and resource planning.
Recruitment commitments, compensation commitments and employment terms must remain within the authority and policies approved by Andabhurji Global Solutions.
4.3 State-Specific Partnerships & Vendor Management
The Partner will identify, establish and manage business relationships with appropriate partners and vendors within the assigned state.
This may include:
Business partners.
Sales partners.
Service partners.
Local vendors.
Marketing partners.
Implementation/support resources.
Logistics or operational service providers where applicable.
Other state-specific commercial relationships.
Responsibilities include:
Identifying suitable partners/vendors.
Evaluating their suitability and capabilities.
Developing commercial relationships.
Coordinating onboarding and documentation.
Managing day-to-day business relationships.
Monitoring service delivery and performance.
Negotiating within approved commercial authority.
Identifying alternate vendors/resources where required.
Maintaining continuity of business operations.
Escalating material vendor or partner risks to the appropriate internal function.
4.4 Functional Implementation of Clients
The Partner will coordinate and, where appropriately qualified, participate in the functional/business implementation of solutions provided to customers.
Responsibilities may include:
Understanding customer business requirements.
Conducting requirement discussions.
Mapping customer requirements to approved business processes and solutions.
Coordinating implementation activities.
Preparing or coordinating functional documentation.
Coordinating user onboarding and training.
Managing implementation schedules.

Supporting successful transition from sales to operations/support.
The Partner shall not independently commit technology architecture, technology strategy, software-development decisions or technical commitments outside the authority provided by the Company.
4.5 Customer Support & CRM
The Partner shall maintain strong customer relationships throughout the customer lifecycle.
Responsibilities include:
Maintaining regular communication with customers.
Managing customer relationships through the applicable CRM/business systems.
Tracking customer requirements and commitments.
Coordinating support requests with relevant internal teams.
Monitoring customer issues and escalations.
Ensuring timely follow-up.
Maintaining customer records and interaction history.
Identifying customer dissatisfaction or business risks.
Identifying opportunities for customer retention, expansion and additional business.
Conducting periodic relationship reviews with important customers.
The objective is to build long-term, trusted commercial relationships with customers.
4.6 Liaisoning, Coordination & Continuous Improvement
The Partner will act as a business liaison between the state business unit and relevant internal and external stakeholders.

4.7 Strategic Development with Executive Teams
Apart from the regular responsibilities described in this JD, the Partner may be required to work directly with the Executive Team on specific strategic initiatives.

4.8 Team Management
The Partner will be responsible for coordinating and managing the state-level team/resources assigned to the business unit.

4.9 Team & Self-Backup Planning
Business continuity is a key responsibility of the position.
The Partner shall maintain suitable backup planning for:

The Partner must also maintain an appropriate personal availability and backup plan so that planned/unplanned absence does not unnecessarily interrupt business operations.
Where required, the Partner shall recommend suitable backup resources to management and assign responsibilities in accordance with approved authority.
4.10 Internal Accounting – Customers, Employees, Partners & Vendors
The Partner will be responsible for maintaining appropriate internal business accounting/records and coordination for the assigned state business unit.
This may include:

Invoice tracking.
Payment follow-up.
Outstanding receivables tracking.
Revenue records.
Customer-wise commercial records.
Employee/Resource Accounting

Incentives/variable payments where applicable.

The Partner will coordinate with the Company's finance/accounts function for formal accounting, taxation, statutory reporting and financial controls.
The Partner will not independently alter statutory accounting records or make unauthorized financial commitments on behalf of the Company.
5. TECHNOLOGY ROLE LIMITATION
This position is a business-management role and not a technology-strategy role.
The Business Management Partner will not be responsible for managing the Company's technology strategy, technology architecture, software-development strategy, cybersecurity strategy, infrastructure strategy or technical product roadmap.
The Partner will instead act as an interface between the state business unit and the Company's relevant technology/technical functions.
The Partner may:
Communicate business requirements.
Gather functional requirements.
Coordinate with technology teams.
Track technology-related customer requirements.
Facilitate communication between customers and technical teams.
Coordinate functional implementation.
Report technology-related business issues.
Technology decisions shall remain with the Company's authorized technology/technical functions.

This role requires the ability to establish relationships with customers at multiple organizational levels, including operational users, managers, business heads, owners, decision-makers and senior management where applicable.

8. CONTRACTUAL ENGAGEMENT
The position shall initially be offered as a one-year contractual engagement.

9. BUSINESS ASSIGNMENT
The Partner shall be assigned a specific state/territory as determined by Andabhurji Global Solutions.
The assignment may be modified, expanded, reduced, reorganized or otherwise changed based on:
Business requirements.
Market conditions.
Territory restructuring.
Customer requirements.
Partner availability.
Organizational strategy.
Performance and deliverability.
Assignment to a state does not automatically create permanent territorial exclusivity unless expressly provided in a separate written agreement or commercial schedule.
10. BENEFIT / COMMERCIAL PLAN
The Business Management Partner shall be eligible for:
30% OF NET PROFIT EARNED BY THE ASSIGNED STATE BUSINESS UNIT
The applicable benefit is intended to be linked to the net profit generated by the business unit for the Partner's assigned state, subject to the Company's applicable accounting methodology, approved business expenses, adjustments, statutory obligations, refunds, cancellations, credits, write-offs and other applicable commercial/accounting considerations.
The final calculation methodology, accounting period, settlement cycle, eligible expenses, exclusions and payment conditions shall be documented in the applicable contractual/commercial schedule.
The 30% benefit should not be interpreted as ownership of the Company, ownership of Company assets, equity/shareholding, partnership in the statutory/company-law sense, or entitlement to Company-wide profits.
11. WORK-FROM-HOME REQUIREMENTS
This is a Remote / Work From Home position.
The Partner must independently maintain suitable working infrastructure, including:

The Partner is responsible for maintaining reasonable availability during mutually agreed business hours and for attending required meetings, customer discussions and business reviews.
12. LANGUAGE & COMMUNICATION REQUIREMENT
State-specific communication skills are mandatory.
The candidate must be capable of communicating professionally in the predominant language(s) of the assigned state/region.
In addition, the candidate should possess sufficient professional English/Hindi communication skills, where required for interaction with corporate, executive, technology, legal, finance or other internal teams.

14. PROFESSIONAL CONDUCT
The Partner shall:

Protect the Company's reputation and commercial interests.
Follow applicable Company policies.
Disclose material conflicts of interest.
Avoid unauthorized use of Company/customer information.
Maintain professional relationships with employees, customers, partners and vendors.
15. TERMINATION / CANCELLATION
The contractual engagement may be terminated, suspended, placed on hold or otherwise discontinued in accordance with the executed agreement and applicable law.
Industry-standard grounds for termination may include, subject to the applicable contract and law:

Failure to perform assigned responsibilities.

Conduct causing material reputational or commercial harm.

Unauthorized financial commitments.

Business Reasons
The Company may also discontinue or restructure the assignment because of legitimate business reasons, including:

Merger, acquisition or organizational restructuring.
Other legitimate business requirements.
Any notice period, cure period, payment settlement and termination procedure shall be governed by the executed contractual agreement.
16. SPECIAL NON-CONTACT / COMMUNICATION FAILURE CLAUSE
Continuous communication is an essential requirement of this role.
If, after an authorized representative of Andabhurji Global Solutions makes the first documented attempt to contact the Business Management Partner, no meaningful contact or communication is established between the Organization and the Partner for a continuous period of 15 calendar days, the Partner's assignment may be treated as removed from active assignment and placed ON HOLD.
The Partner shall then have an additional 7 calendar days from the date on which the assignment is placed on hold to establish contact and provide a reasonable explanation for the communication failure.
If the Partner remains unreachable or fails to establish meaningful communication during this additional 7-day period, the contractual assignment may be treated as CANCELLED / TERMINATED, subject to the terms of the executed agreement and applicable law.
For clarity:
15 Days – No Contact → Assignment placed ON HOLD
Additional 7 Days – Still No Contact → Assignment may be CANCELLED
The Company should maintain reasonable records of contact attempts, including applicable email, telephone, messaging, CRM or other authorized communication records.
This clause does not prevent the Partner from explaining circumstances such as genuine emergencies, hospitalization, natural disasters, connectivity failures or other circumstances beyond reasonable control, where supported by appropriate information and accepted by the Company.
17. BUSINESS CONTINUITY & HANDOVER
Upon resignation, termination, cancellation, reassignment or expiry of the contractual engagement, the Partner shall reasonably cooperate with the Company in transferring:
Customer relationships.
Customer records.
CRM information.
Sales pipeline.
Partner relationships.
Vendor relationships.
Implementation status.
Pending commercial matters.
Business documents.
Financial/accounting records.
Company assets, if any.
Other information required for business continuity.
The Partner shall not intentionally withhold business information necessary for continued operation of the assigned business unit.
18. AUTHORITY & LIMITATIONS
The Partner may manage and develop the assigned business unit within the authority granted by the Company.
However, the Partner shall not, without specific written authorization:
Alter Company ownership or corporate structure.
Make technology-strategy decisions.
Commit the Company to major financial obligations.
Enter into unauthorized legal agreements.
Alter Company-wide pricing or policies.
Make statutory commitments on behalf of the Company.
Represent themselves as an owner/director/shareholder unless legally appointed as such.
Bind the Company beyond their delegated authority.

1. PURPOSE OF THE AGREEMENT
The purpose of this Agreement is to establish the commercial, operational and business relationship between Andabhurji Global Solutions and the Business Management Partner appointed to manage and develop the Tapri Wali Bhurji business unit within the assigned State.
The Partner shall be responsible for developing and managing the assigned State business unit in accordance with:

Company policies;
Approved business processes;
Applicable laws and regulations;
Written directions issued by authorized representatives of the Company.
This Agreement is intended to establish a business-management relationship and does not, by itself, create an employer-employee relationship, partnership firm, statutory partnership, shareholder relationship, franchise, agency, joint venture or ownership interest in the Company.
2. BUSINESS UNIT

The Company may modify, expand, restructure or introduce additional business activities, products or services within the assigned business unit based on business requirements.

The Partner shall not make unauthorized commitments regarding pricing, technology, implementation timelines, legal obligations or other matters outside delegated authority.

Assign responsibilities.

No person shall be represented as an employee of the Company unless formally appointed through the Company's approved process.
8. PARTNERSHIP & VENDOR MANAGEMENT
The Partner may identify and manage State-specific:
Business Partners;
Sales Partners;
Service Partners;
Marketing Partners;
Vendors;
Consultants;
Local service providers;
Implementation resources;
Other approved commercial relationships.
The Partner shall ensure appropriate documentation and approval before creating contractual or financial commitments on behalf of the Company.
9. FUNCTIONAL CLIENT IMPLEMENTATION
The Partner shall coordinate the functional/business implementation of customers.
This may include:
Requirement gathering;
Business-process understanding;
Functional mapping;
Customer onboarding;
Training coordination;
Implementation planning;
Functional testing coordination;
Customer communication;
Implementation tracking;
Handover to support.
The Partner shall coordinate with technology teams where technical implementation is required.
10. TECHNOLOGY RESPONSIBILITY LIMITATION
The Partner is expressly not responsible for the Company's technology strategy.
The Partner shall not independently control:
Technology architecture;
Software development strategy;
Infrastructure strategy;
Cybersecurity strategy;
Technical product roadmap;
Technology standards;
Software engineering decisions;
Technology investments.
The Partner shall act as an interface between:
Customer Business Requirements ↔ Business Functions ↔ Technology Functions
Technology decisions shall remain with the Company's authorized technology personnel.
11. CUSTOMER SUPPORT & CRM
The Partner shall maintain active customer relationships and ensure:
Regular communication;
CRM updates;
Issue tracking;
Escalation management;
Customer follow-up;
Requirement tracking;
Customer retention;
Expansion opportunities;
Customer satisfaction monitoring.
The Partner shall make reasonable efforts to develop long-term relationships with customer stakeholders at multiple levels.
12. STRATEGIC EXECUTIVE RESPONSIBILITIES
The Company may assign the Partner special strategic projects.
These may include:
New market development;
New business opportunities;
Strategic accounts;
State expansion;
Partnerships;
Business restructuring;
Special customer projects;
New product/service initiatives;
Strategic alliances;
Operational improvements.
The Partner agrees to reasonably cooperate with the Executive Team on such approved initiatives.
13. TEAM MANAGEMENT
The Partner shall be responsible for coordinating the assigned State team.
This includes:
Work allocation;
Performance monitoring;
Business reviews;
Resource planning;
Productivity monitoring;
Employee coordination;
Training requirements;
Escalation;
Team communication;
Business continuity.
14. BACKUP & BUSINESS CONTINUITY
The Partner shall maintain appropriate backup arrangements.
The Partner shall ensure that important:
Customer information;
Sales opportunities;
Implementation activities;
Support activities;
Partner relationships;
Vendor relationships;
Financial records;
Business communications
can be transitioned to an authorized Company representative or alternate resource where required.
15. INTERNAL ACCOUNTING & COMMERCIAL RECORDS
The Partner shall maintain accurate business records relating to:
Customers
Sales;
Invoices;
Collections;
Outstanding amounts;
Credits/refunds where applicable.
Employees
Approved incentives;
Reimbursements;
Resource costs;
Other approved expenses.

Commissions;
Incentives;
Revenue shares;
Business-related payments.
Vendors
Approved expenses;
Vendor invoices;
Payment status;
Commercial commitments.
Formal statutory accounting, taxation, GST, TDS, financial reporting and corporate accounting shall remain subject to the Company's designated finance/accounts function.
16. COMMERCIAL BENEFIT
The Partner shall be eligible for:
30% OF THE NET PROFIT OF THE ASSIGNED STATE BUSINESS UNIT
The detailed calculation methodology shall be defined in the Commercial Schedule attached to and forming part of this Agreement.
The benefit shall be calculated only against the applicable Net Profit, and not against gross sales, gross invoice value or gross collections.
17. NET PROFIT DEFINITION
Unless otherwise specifically stated in the Commercial Schedule, "Net Profit" for Partner calculation purposes shall mean the revenue actually attributable to the assigned State business unit, less applicable and properly attributable business costs and adjustments.
These may include, as applicable:
Cost of goods/services;
Customer refunds;
Credits;
Discounts;
Taxes where applicable;
Payment gateway charges;
Delivery/logistics costs;
Vendor costs;
Partner costs;
Employee/resource costs;
Marketing costs;
Customer support costs;
Implementation costs;
Approved operational expenses;
Bad debts/write-offs;
Other directly attributable business expenses.
The Company may establish the final accounting methodology to ensure consistent treatment across State business units.
18. NO OWNERSHIP OR EQUITY
The Partner's entitlement to a percentage of Net Profit does not constitute:
Shareholding;
Equity ownership;
Ownership of Company assets;
Ownership of intellectual property;
Ownership of customer databases;
Partnership interest in the Company;
Right to participate in Company-wide profits.
The benefit is strictly a contractual commercial entitlement under this Agreement.
19. PAYMENT & SETTLEMENT
Partner benefit calculations shall be prepared for the applicable settlement period.
Settlement Frequency: __________________________
The Company may require reconciliation before final settlement.
Any amount disputed in good faith may be subject to reconciliation and adjustment.
The Company may adjust future settlements for:

20. BUSINESS EXPENSES
The Partner shall obtain prior approval for expenses that are intended to be reimbursed by the Company.
Unless specifically approved, the Partner shall be responsible for their own:
Laptop/desktop;
Internet;
Smartphone;
Home-office expenses;
Local communication;
General remote-work expenses.
Approved business expenses shall be reimbursed according to applicable Company policy.
21. REMOTE WORK REQUIREMENT
The Partner shall work remotely unless otherwise required.
The Partner must maintain:
Functional laptop/desktop;
Reliable internet;
Smartphone;
Suitable workspace;
Video/audio meeting capability;
CRM access;
Business communication capability.
The Partner shall remain reasonably available during agreed business hours and for important customer or executive meetings.
22. COMMUNICATION & AVAILABILITY
The Partner shall maintain active communication with:
The Company;
Authorized Executive Team members;
Customers;
Employees;
Partners;
Vendors;
Relevant internal functions.
The Partner shall use Company-approved communication channels where applicable.
23. SPECIAL 15 + 7 DAY NON-CONTACT PROVISION
Continuous communication is a material responsibility of the Partner.
If the Organization's authorized representative makes a first documented attempt to contact the Partner and no meaningful contact is established for 15 consecutive calendar days, the Partner's active business assignment shall be treated as:
"REMOVED FROM ACTIVE ASSIGNMENT / ON HOLD"
The Partner shall then receive an additional period of:
7 CALENDAR DAYS
to establish meaningful contact and provide an explanation.
If the Partner remains unreachable or fails to establish meaningful communication during the additional 7-day period, the assignment may be treated as:
"CANCELLED / TERMINATED"
This shall be subject to the terms of this Agreement and applicable law.

The Company should maintain reasonable evidence of attempted contact.
This provision shall not prevent consideration of genuine circumstances beyond the Partner's reasonable control, including serious emergencies, hospitalization, natural disasters or major communication failures, where reasonably supported and accepted by the Company.
24. TERMINATION BY COMPANY
Subject to applicable law and the contractual terms, the Company may terminate the Agreement for:
Material Breach
Material breach of this Agreement;
Repeated breach after notice;
Failure to comply with material Company policies.
Performance
Persistent failure to deliver agreed responsibilities;
Material and sustained failure to achieve agreed deliverables;
Failure to maintain customer/business relationships;
Material deterioration in business performance.
Misconduct
Fraud;
Dishonesty;
Misrepresentation;
Unauthorized financial activity;
Serious professional misconduct;
Misuse of Company resources.
Confidentiality/Data
Unauthorized disclosure of confidential information;
Misuse of customer information;
Unauthorized access to systems/data;
Material data-security violation.
Commercial/Conflict Issues
Undisclosed material conflict of interest;
Unauthorized competing activity where prohibited by applicable agreement/law;
Unauthorized commercial commitments;
Misappropriation of business opportunities.
Business Restructuring
The Company may terminate, suspend or restructure the assignment for legitimate business reasons, including:
Business-unit closure;
Territory restructuring;
Organizational restructuring;
Business-model changes;
Strategic changes;
Market conditions;
Merger/acquisition;
Discontinuation of relevant services.
The specific notice and cure requirements shall be stated in the applicable Commercial Schedule or termination notice.
25. TERMINATION BY PARTNER
The Partner may terminate the Agreement by providing:

26. IMMEDIATE SUSPENSION
Where the Company reasonably believes that continued access or activity may create material risk to:
Customers;
Company assets;
Confidential information;
Financial interests;
Data;
Business operations;
Reputation;
the Company may temporarily suspend the Partner's access or assignment pending review, subject to applicable law and the Agreement.
27. HANDOVER OBLIGATION
Upon expiry, termination, cancellation or reassignment, the Partner shall return or transfer all Company-related information, including:
Customer information;
CRM records;
Sales pipeline;
Partner details;
Vendor details;
Financial records;
Implementation records;
Business documents;
Company property;
Credentials/access under Company control.
The Partner shall not intentionally withhold or delete business information required for continuity, subject to lawful retention requirements.
28. CONFIDENTIALITY
The Partner shall keep confidential all non-public information relating to:
Company operations;
Customers;
Partners;
Vendors;
Pricing;
Financial information;
Business plans;
Strategies;
CRM;
Technology;
Products;
Processes;
Employees;
Commercial arrangements.
This obligation shall continue after expiry or termination to the extent permitted and required by applicable law and the relevant contractual provisions.
29. INTELLECTUAL PROPERTY
All Company trademarks, brands, designs, documentation, software, content, business processes, customer records, marketing material and intellectual property remain the property of their respective owners.
Nothing in this Agreement transfers ownership of Company intellectual property to the Partner.
The Partner receives only the limited right to use approved Company materials for authorized business purposes during the contractual relationship.
30. CUSTOMER & BUSINESS DATA
Customer and business information obtained during the Partner's engagement shall be treated as business information of the Company or the applicable data owner.
The Partner shall not:
Sell customer information;
Share customer databases;
Copy business records for unauthorized purposes;
Transfer customer information to unauthorized parties;
Use Company data for unauthorized personal business.
Applicable privacy/data-protection obligations shall apply.
31. NON-SOLICITATION / BUSINESS PROTECTION
Any restriction relating to solicitation of customers, employees, partners or vendors after termination shall apply only to the extent permitted by applicable law and shall be specifically drafted and reviewed for enforceability before execution.
Nothing in this clause is intended to unlawfully restrict a person's lawful profession, trade or employment.
32. AUTHORITY
The Partner shall operate within delegated authority.
The Partner shall not represent that they are:
A director of the Company;
A shareholder;
An owner of the Company;
Authorized to bind the Company beyond delegated authority.
The Partner may represent themselves as:

only for authorized Company business activities.
33. CONFLICT OF INTEREST
The Partner shall disclose any material conflict of interest.
The Partner shall not knowingly place personal interests ahead of the Company's legitimate business interests in matters being managed on behalf of the Company.
Any competing engagement restrictions, if required, shall be separately documented and shall remain subject to applicable law.
34. INDEPENDENT BUSINESS RELATIONSHIP
Unless expressly stated otherwise in a separate agreement, this Agreement is intended to create an independent contractual business relationship.
Nothing herein shall automatically create:
Employment;
Statutory partnership;
Joint venture;
Franchise;
Agency;
Shareholding.
The actual legal characterization shall depend on the Agreement, the parties' conduct and applicable law.
35. POLICIES
The Partner agrees to comply with applicable Company policies communicated to the Partner, including policies relating to:
Information security;
Privacy;
Acceptable use;
Customer handling;
Financial controls;
Intellectual property;
Data protection;
Business conduct;
CRM usage;
Communication;
Other applicable Company procedures.
36. RECORD KEEPING
The Partner shall maintain accurate and timely records relating to the State business unit.
Records may include:
CRM entries;
Sales reports;
Customer communications;
Business proposals;
Partner records;
Vendor records;
Expense records;
Implementation records;
Support records;
Financial records.
37. AUDIT & RECONCILIATION
The Company may review business records reasonably required to:
Verify Net Profit;
Verify customer revenue;
Verify expenses;
Verify commissions;
Review partner/vendor payments;
Investigate discrepancies;
Maintain business controls.
The Partner shall reasonably cooperate with such reconciliation.
38. CHANGES TO BUSINESS STRUCTURE
The Company may change its:
Reporting structure;
Business processes;
Products;
Services;
Technology interfaces;
CRM;
Commercial procedures;
State/regional structure;
Customer-management process.
The Partner shall reasonably cooperate with approved changes relevant to the assigned role.
Material changes to the Partner's commercial entitlement should be documented through an updated Commercial Schedule or written amendment.
39. ELECTRONIC ACCEPTANCE
The Parties may execute or accept this Agreement and its Commercial Schedule through legally recognized electronic means, subject to applicable law and the Company's approved execution process.
Electronic records and electronic contracts may receive legal recognition under the Information Technology Act, 2000, including Section 10A regarding contracts formed through electronic means.
The Company should use an appropriate electronic-signature/e-signature process and retain the acceptance record.
40. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by the laws applicable in India.
The Parties shall initially attempt to resolve disputes through good-faith business discussions.
If the dispute cannot be resolved through internal discussion, the Parties may proceed according to the dispute-resolution mechanism specified below:

42. ENTIRE AGREEMENT
This Agreement together with its Commercial Schedule and expressly incorporated Company policies constitutes the principal understanding between the Parties regarding the Partner's State assignment.
Any amendment affecting material commercial terms should be documented in writing and accepted by both Parties.
43. SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to operate to the extent permitted by law.
44. WAIVER
Failure by either Party to immediately enforce a provision shall not automatically constitute a permanent waiver of that provision.
45. ASSIGNMENT
The Partner shall not transfer or assign their contractual responsibilities to another person without prior written approval of the Company.
The Company may reorganize or reassign business responsibilities as part of legitimate business restructuring, subject to the Agreement and applicable law.
46. SURVIVAL
Provisions relating to:
Confidentiality;
Intellectual Property;
Customer/business data;
Financial reconciliation;
Outstanding payments;
Handover;
Dispute resolution;
Other provisions intended by their nature to survive
shall continue after termination to the extent applicable.
47. PARTNER DECLARATION

A5. NO GUARANTEED MINIMUM BENEFIT

There is no guaranteed number of customers;
There is no guaranteed number of sales;
There is no guaranteed State revenue.
The Partner's commercial benefit depends upon actual eligible Net Profit.

FINAL COMMERCIAL ACKNOWLEDGEMENT
The Partner understands that this arrangement is designed around the development of a State-level business unit, rather than a conventional fixed-salary employment role.
The Partner's commercial opportunity is therefore directly connected to the development, management and profitability of the assigned State business unit.
The Partner agrees to actively participate in:
Business Development + Customer Relationships + People + Partnerships + Vendors + Implementation + Support + Operations + Commercial Management + Continuous Improvement
while working collaboratively with the Company's Executive, Technology, Legal, Finance, Operations and other functional teams.
LEGAL REVIEW RECOMMENDATION
This document is a business/contract drafting framework and should be reviewed and finalized by an Indian lawyer before execution, particularly for the provisions concerning independent-contractor characterization, profit calculation, tax/GST/TDS treatment, termination, post-contract restrictions, dispute resolution, data protection and any exclusivity or non-solicitation language.
The Indian Contract Act, 1872 is the principal central statute governing contracts in India, while the Information Technology Act provides statutory recognition for electronic records, electronic signatures and contracts formed electronically.

The State-wise Regional Structure applicable to the Partner’s assigned State, including the Regional Headquarters, Sub-Regional Headquarters, Territories and applicable postal/PIN-code coverage, shall be maintained separately by Andabhurji Global Solutions as part of its official Regional Structure.

The Partner’s applicable State, Regional Headquarters, Sub-Regional Headquarters and Territory coverage shall be determined with reference to the latest Regional Structure maintained by the Company.
The Company reserves the right to modify, reorganize, add, remove or reallocate Regional Headquarters, Sub-Regions, Territories and postal/PIN-code coverage based on business requirements, operational considerations, customer requirements, market conditions or future organizational restructuring.
For the avoidance of doubt, the Regional Structure referenced above forms an operational territory reference and shall not, by itself, create an unrestricted or permanent territorial exclusivity in favour of the Partner. Reserved accounts, national accounts, existing customers, direct/online sales and other accounts specifically retained by the Company shall remain outside the Partner’s territorial scope unless expressly included in the applicable Partner Commercial Schedule.
